Contracts Manager/Paralegal

Our mission is to make biology easier to engineer.  Ginkgo is constructing, editing, and redesigning the living world in order to answer the globe’s growing challenges in health, energy, food, materials, and more.  Our bioengineers make use of an in-house automated foundry for designing and building new organisms.  Today, our foundry is developing over 40 different organisms to make different products across multiple industries.

We’re looking for a passionate and driven individual to manage our contracts and support our two in-house lawyers.  With your prior experience working in the life sciences field, you have a track record of exuding a sense of urgency and motivation for your work, while contributing to overall company goals.  Reporting directly to our General Counsel, you’ll be part of a small team that is responsible for drafting and negotiating a wide range of contracts, including confidentiality agreements, material transfer agreements, consulting agreements, and vendor agreements and performing other legal support tasks.  This role requires strong communication, research ability, project management skills, and good judgment, as well as a great deal of resourcefulness and autonomy in accomplishing a wide variety of tasks.


  • Draft and negotiate a high volume of contracts, including (without limitation) master services agreements and work orders, consulting agreements, confidentiality agreements, material transfer agreements, supply agreements, and research agreements
  • Interface with internal management and external parties to gather specifications and terms necessary for contract drafting and negotiations
  • Actively help implement and manage contract management tools and other technology adopted by the Legal Team, and help to ensure that Ginkgo’s contract repository is accurate and up to date
  • Help implement new policies and procedures
  • Train internal clients on policies, procedures, and systems as requested
  • Work closely with members of the Finance Team and other departments to help ensure compliance with cross-functional policies and procedures
  • Help develop and update contract templates, training materials, and relevant portions of the Legal Team’s intranet site content
  • Assist with the management of Ginkgo’s IP portfolio and IP software
  • Serve as a liaison with outside counsel, as requested
  • Conduct research, as needed
  • Complete special projects, such as collaborating on department-wide or company-wide initiatives, as requested


  • 3+ years of experience drafting and negotiating a variety of contracts relevant to the life sciences industry
  • Bachelor’s degree strongly preferred
  • Notary Public certification a plus
  • Experience with contract and document management systems
  • Prior in-house experience as a member of a legal/patent department in a life sciences, technology, or pharmaceutical company strongly preferred (although experience as a law firm paralegal is also highly valued)
  • Strong contract drafting and negotiation skills
  • Demonstrated ability to multitask, problem solve, and operate in a fast-paced environment
  • Excellent verbal and written communication skills
  • Strong interpersonal skills and high level of professionalism
  • Strong organizational skills, with the ability to handle multiple responsibilities simultaneously and meet high-quality and timeliness standards under pressure
  • Team player with a commitment to developing strong, collaborative relationships with fellow members of the team, outside clients, and other cross-functional teams
  • Solution-oriented, with a positive “can-do” approach
