General Counsel and Company Secretary

The role

As General Counsel you’ll lead a talented team covering legal, compliance and operational risk and partner with the business on a broad scope of expertise. Reporting to the CFO, you’ll work closely with the Board, Remuneration and Audit & Risk Committees in your role as Company Secretary.

What you will be doing

• Overall ownership of the legal, compliance and operational risk functions within Prospa
• Company Secretary to the Board, Remuneration and Audit and Risk Committees
• Ownership of the relationship with ASX and Link, including involvement in mandatory reporting
• Negotiating, drafting and reviewing material commercial contracts
• Monitoring and reporting on regulatory, industry and legal developments
• Manage Group's insurance requirements, including general and financial lines insurance renewals, review of insurance clauses in contracts, and claims
• Ownership of Prospa’s external legal advisors
• Responsible for maintaining Prospa’s intellectual property interests and Prospa’s employee equity plan

To be successful in the role you will have outstanding knowledge of laws, regulation and obligations in the finance industry with the ability to balance commercial objectives with your legal advice. As Company Secretary you must have experience in Board and Committee governance, preferably with a listed company.

What you'll need to succeed

• You are passionate, self-motivated and enjoy working in a high performing, dynamic environment
• Demonstrated success as in-house counsel, within a listed company
• Experience in the financial legal and regulatory environment preferred
• Australian qualified lawyer with a current practising certificate 
• Strong and demonstrated ability to balance commerciality with your legal advice
• Experience in liaising with senior executives and Board members Highly organised with an eye for detail
